END USER LICENSE AGREEMENT (EULA) Richmond Slate Repair LLC Effective Date: March 3, 2025

This End User License Agreement ("Agreement") is a legal agreement between you and Richmond Slate Repair LLC ("we," "us," or "our") governing your use of the Richmond Slate Repair Sync application ("Application"), which connects with QuickBooks Online via the Intuit Developer platform.

1. Grant of License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the purpose of syncing your QuickBooks Online account with Richmond Slate Repair LLC's internal business systems. This license is granted strictly for internal business use in connection with roofing services provided by Richmond Slate Repair LLC.

2. Restrictions

You may not copy, modify, distribute, sell, or sublicense the Application or any part of it. You may not reverse engineer, decompile, or disassemble the Application. You may not use the Application for any purpose other than its intended function of syncing QuickBooks data with Richmond Slate Repair LLC's business records.

3. QuickBooks Integration

The Application connects to QuickBooks Online through Intuit's API. By using the Application, you authorize Richmond Slate Repair LLC to access your QuickBooks account data as described in our Privacy Policy. You may revoke this authorization at any time through your Intuit account settings. Use of QuickBooks Online is governed separately by Intuit's own terms of service.

4. Data and Privacy

Your use of the Application is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. We collect and use only the data necessary to operate the integration. We do not sell or share your data with third parties for marketing or advertising purposes.

5. Intellectual Property

The Application and all associated code, design, and content are the property of Richmond Slate Repair LLC. Nothing in this Agreement transfers any intellectual property rights to you. All rights not expressly granted are reserved.

6. Disclaimer of Warranties

The Application is provided "as is" without warranty of any kind, express or implied. We do not warrant that the Application will be error-free, uninterrupted, or compatible with all versions of QuickBooks Online. Use of the Application is at your own risk.

7. Limitation of Liability

To the fullest extent permitted by law, Richmond Slate Repair LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Application, including but not limited to loss of data, loss of revenue, or business interruption.

8. Termination

This Agreement is effective until terminated. We may terminate this Agreement and your access to the Application at any time without notice. Your rights under this Agreement terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of Richmond, Virginia.
